These Terms of Service govern the use of Heatrail by the business that registers a partner account. They are concluded by registering, together with the Heatrail Data Processing Agreement; no separate paperwork is signed.

Section 1
1. Parties and scope
These Terms of Service govern the use of Heatrail, operated by Heatrail OÜ (registry code 16731349, Estonia), by the business that registers a partner account ("you"). By registering an account you conclude both these Terms and the Heatrail Data Processing Agreement; no separate paperwork is signed. Both documents are versioned, and your acceptance of a specific version is recorded together with the content hash of the text you accepted.
Section 2
2. The service
Heatrail provides a privacy-preserving fraud-signal layer for e-commerce stores. Heatrail only informs: it never blocks, delays or cancels a purchase, it makes no automated decision about your customers, and an outage on Heatrail's side never takes your store down (fail-open by design). Risk scores are advisory; every decision about an order remains yours.

3. Access
A partner account is opened after review of the registered business (registry code, domain, ownership). Approval issues the plugin, the SDK and API credentials; a subscription is not a precondition for them. Heatrail may apply fair use rate limits to accounts on the Free plan. Approval is at Heatrail's discretion and may be withheld or withdrawn.
Section 4
4. Pricing
Heatrail has two plans.
Heatrail Free. No fee, and no card is asked for. The Free plan protects your own shop: the orders you label yourself, the history of your own shop, and the score and reasons that follow from them. Signals that come from other shops in the network are not part of the Free plan.
Heatrail Pro. Five cents (EUR 0.05) per billable order, whatever your volume. There are no tiers within the plan, no minimum and no cap. Pro adds what the Free plan does not carry: the confirmed outcomes of other shops in the network.
Your first 100 billable orders are free. When your Pro subscription starts, Heatrail credits EUR 5.00 to your account once; Stripe uses that credit against your first invoices, so nothing is charged until 100 billable orders have been checked. The allowance is granted once for the lifetime of your account, not once per month.
Prices are in EUR and exclude VAT where applicable.
Section 5
5. Billing period and invoicing
The billing period is the calendar month (UTC). A billable order is the first check for a distinct order in a period; repeated checks of the same order are not billed again. Checks made on the Free plan are never billable: a Free account accrues no billable orders and is not invoiced. If you upgrade to Pro, an order that was already checked earlier in the same calendar month is not billed again.
Stripe issues an invoice for the period's usage at the end of each period. In addition, whenever the usage accrued in the current period reaches EUR 100, that usage is invoiced immediately and the remainder settles with the monthly invoice. The threshold changes when you are invoiced, never how much. Your card is charged through Stripe when an invoice is issued. Card data is held only by Stripe, never by Heatrail.

6. Your obligations
You keep your API credentials confidential and rotate them through the portal if they are exposed. You send only the signal fields the integration defines: e-mail addresses and phone numbers are hashed in your own systems before transmission, and raw contact details must never be sent to Heatrail. You label orders truthfully; fraud and chargeback labels feed a shared signal and must reflect real, evidenced outcomes. Labels feed that shared signal on both plans: a label you submit on the Free plan contributes to it exactly as a label submitted on Pro does. You send checks only for real orders and sessions in your own shop. Speculative, bulk or fabricated checks are not permitted, on either plan, and Heatrail may freeze a key when it sees a query pattern that does not look like trade.
Section 7
7. Cancellation
You may cancel any time from the Stripe Billing Portal. Access continues until the end of the paid period; you are billed only for usage up to that point. No minimum term, no cancellation fee. Cancelling Pro returns your account to the Free plan rather than closing it: access to protection for your own shop continues, and only the signals from other shops in the network stop. Heatrail may terminate an account for a breach of these terms or of the Data Processing Agreement.
Section 8
8. Liability and governing law
The service is advisory and is provided without a warranty that it identifies any particular fraudulent order. Heatrail is not liable for commercial decisions you take on the basis of a score. Estonian law applies. Nothing here limits either party's liability where the law does not allow it to be limited.
Section 9
9. Changes to these terms
Heatrail may publish a new version of these terms. A new version does not bind you until you accept it: you are asked to review and accept it in the portal before continuing to use the service, and each accepted version is recorded separately with its date and content hash.
History
What changed in this version
Section 4, Pricing. The price of Heatrail Pro rises. Version 1.0609261900.4 charged one cent (EUR 0.01) per billable order; this version charges five cents (EUR 0.05) per billable order, at every volume. That is five times the previous price. It is also the first increase in a Heatrail price: every earlier edition of these terms could say that no price in it was higher than in the version it replaced, and this one cannot. The one-time allowance stays 100 billable orders, and the credit that pays for it rises with the price, from EUR 1.00 to EUR 5.00, so the first 100 billable orders are still free. Nothing else in the section moves: there are no tiers within the plan, no minimum and no cap, and Heatrail Free still costs nothing and still asks for no card. Section 9 governs this increase as it governs any other change to these terms, so it does not bind you until you accept it.
Sections 1, 2, 3, 5, 6, 7, 8 and 9 are unchanged.
